Constitution
(Revised: April 1, 2004)
ARTICLE I. NAME and OBJECTIVE
Section One.
The name of this organization shall be the “Republican
Party of Pierce County”, herein after referred to as
organization.
Section Two.
The objectives of the organization shall be:
A. To bring people into the Republican Party and to provide
an opportunity for them to find political expression and
recognition;
B. To train people as effective political workers and to
cooperate in the election of the Republican Party’s
nominees;
C. To foster and encourage the activities of the Republican
Party and to promote its ideals; and
D. To collect, analyze, discuss, and disseminate
information concerning political affairs.
ARTICLE II. MEMBERSHIP
Section One.
Active membership in this organization shall be open all to
residents of Pierce County, elected officials whose district
covers Pierce County and are of voting age who believe in the
above objectives, purposes and principles of the Republican
Party.
Section Two.
Members of this organization shall be classified as active
and inactive, and shall have privileges as may be proscribed
in the By-Laws
Section Three.
The membership year shall be from July 1 to June 30.
ARTICLE III.
OFFICERS
Section One.
The officers of this organization shall be: Chairman,
Vice-Chairman, Parliamentarian, Secretary, Treasurer,
College Republican representative and any other officers as
may be prescribed in the By-Laws.
Section Two.
The duties of the officers shall be prescribed in the
By-Laws.
Section Three.
Officers shall be elected at the Annual Caucus to serve
until their successors have been duly elected and qualified.
Section Four.
Term of office shall be for two (2) years, elected in the
odd-numbered years.
Section Five.
Compensation: All officers serve without compensation
except that they may be reimbursed for budgeted expenses upon
approval of the Executive Committee, may appoint full or part
time employees who may be paid such compensation as determined
by the Executive Committee.
ARTICLE IV.
EXECUTIVE BOARD
Section One.
The Executive Board shall consist of the Chairman,
Vice-Chairman, Parliamentarian, Secretary and Treasurer.
Section Two.
The Executive Board shall meet at the call of the Chairman
and at such other times as may be necessary upon a
majority vote of the members of the Board. When a special
meeting is called, the purpose therefore, shall be stated in
the notice of call of said meeting.
ARTICLE V.
VACANCIES
Section One.
A vacancy of an elective office shall be filled by the
Executive Board.
Section Two.
Notice of such vacancy shall be given by the members of the
Executive Board with the call of the next general meeting.
ARTICLE VI.
ENDORSEMENT NEUTRALITY
Section One.
No Republican candidate for public office, whether local,
state or national, shall be endorsed or opposed by the
Chairman of the organization, members of the Executive Board
in their official capacity, the Executive Board itself, or the
organization itself, prior to a party primary or a party
endorsing caucus.
Section Two.
Any of said officers who shall violate the provision of
Section One. (1), shall automatically be removed from office
and any vacancy existing shall be filled as prescribed by
Article V. Vacancies, in the Constitution or this
organization.
ARTICLE VII.
ELECTIONS
Section One.
Nominations: A Nominating Committee of not less than three
(3) members shall be nominated and elected in the even years
caucus by the membership of the organization present at the
Annual Caucus to serve for the ensuing twelve (12) month
period. At the odd year Caucus this committee shall make it’s
report in writing with sufficient copies for the membership,
presenting at least one nominee for each office including
Delegates and Alternates for district and State Caucus. After
which, nominations may be received from the floor.
Section Two.
Elections Committee: An Election Committee of not less than
three (3) members shall be appointed by the chairman and
approved by the membership prior to the Annual Caucus. This
committee shall help the Secretary provide election materials
and shall act as tellers for the election.
Section Three.
Only active members in good standing may vote. A majority
of all votes cast shall be necessary for election. In the
event that any ballot cast does not result in a majority for
any nominee for the position they are nominated for, there
shall be further ballots, with the nominee having the lowest
vote count being dropped from the second and succeeding
ballots until a nominee shall have received a majority of all
votes cast. Where there is only one candidate for on office,
balloting may be by voice vote.
ARTICLE VIII.
AMENDMENTS
Section One.
By-Laws: The By-Laws of this organization may be amended by
a two-thirds (2/3) majority vote of the active members of the
organization present at a meeting called for that purpose.
Section Two.
Constitution: The Constitution of this organization may be
amended by a two-thirds (2/3) majority vote of the active
members present at a meeting called for that purpose.
ARTICLE IX.
PARLIAMENTARY PROVISIONS
Section One.
Robert’s Rules of Order, Newly Revised, shall govern all
Proceedings except when inconsistent with the Constitution and
By-Laws of this Organization. All questions and concerns to be
determined by a decision of the
Parliamentarian.
ARTICLE X.
DELEGATES and ALTERNATES
Section One.
Delegates and alternates to district and state convention
shall be nominated by the nominating committee as described by
article VII elections, section one.
Section Two.
Said delegates and alternates shall stand for approval by
the membership of the organization at the annual caucus.
Section Three.
Delegates and alternates must be active members of this
organization.
Section Four.
Delegates and alternates to district and state convention
are to vote in the best interests of the Republican Party and
Republican principals as they understand them.
Section Five.
Actions that can be reasonably determined to be acting in a
“unit rule” manor is strictly prohibited.
Section Six.
The Chairman shall seat all active members present at
district and state conventions.
BY-LAWS
ARTICLE I.
DUTIES OF THE OFFICERS
Section One.
Chairman: The Chairman shall preside at all meetings and
Shall be the chief executive officer of the organization. The
Chairman shall have general supervision over the development
of it’s entire program. The Chairman shall make all
committee appointments subject to the approval, of the
membership and shall appoint a representative to attend
district meetings when the Chairman or Vice-Chairman are
unable to attend.
Section Two.
Vice Chairman: The Vice-Chairman shall perform the duties
of the Chairman in the absence of said chairman and other such
duties as prescribed by the Executive Board.
Section Three.
Parliamentarian: The Parliamentarian shall act as
Parliamentarian for the Organization in determining all
procedural disputes.
Section Four.
Secretary: The Secretary shall keep minutes of the meeting
and maintain an up-to-date record of any business in the
organization. Including a Photo Journal. The Secretary shall
notify all members of meetings ten days prior to meeting.
Section Five.
Treasurer: The Treasurer shall be the custodian of the
organization’s funds and shall render an accounting of all
income and disbursements upon the call of the Chairman, or the
Executive Board. The Treasurer shall prepare and file all
financial statements required by law. The Treasurer shall hold
a standing position on the Finance Committee.
ARTICLE II.
DUTIES OF THE EXECUTIVE BOARD
Section One.
The Executive Board shall be responsible for the
transaction of any business of the organization between
regular meetings. It shall also create such committees as may
be necessary.
Subsection A. STANDING COMMITTEES
a. Finance: The duties of the Finance committee shall be to
raise necessary funds for carrying out the organization’s
activities, and other duties as the Chairman and the Executive
Committee may direct. The Finance Committee shall consist of
the Treasurer, the County Chairman, and at least three
non-Executive Board members in good standing.
b. Membership: The duties of the Membership committee shall
be to increase the membership of the party, and other duties
as the Chairman and Executive Committee may direct. The
membership committee shall consist of one Executive Board
member and at least three non-Executive Board members in good
standing.
b. Campaign Committee: The duties of the Campaign Committee
shall be to develop and execute programs which will promote
the election of Republican candidates and to perform such
other duties as the Chairman and the Executive Committee may
Direct. The Campaign Committee shall be made up of one
Executive Board member and at lest three non-Executive Board
members in good standing.
Section Two.
The Executive Board shall remove from office any officer or
Executive Board member absent from three (3) meetings without
due cause.
Section Three.
The Executive Board shall have the power to remove any
officer or Executive Board any officer of Executive Board
member for due cause upon a two-thirds (2/3) majority vote of
the Executive Board.
ARTICLE III.
MEETINGS
Section One.
The regular meetings of the organization shall be held on
the call of the chairman.
Section Two.
The annual caucus shall be held not later than February
Twenty-eighth (28th) of each year.
Section Three.
Special meetings of the organization shall be held on call
of the Chairman or upon written call of one-forth (1/4) of the
active members in good standing in the organization or by
one-third (1/3) of the members of the Executive Board.
ARTICLE IV.
MEMBERSHIP
Section One.
Classification: Membership in the organization shall be
classified as active and inactive.
Section Two.
Privileges: The active members shall be those who are not
in default of dues. They shall be allowed one vote at the
annual caucus and regular meetings as necessary. Active
members shall have the opportunity to serve as delegates
and/or alternates.
Section Three.
Voting at any meeting by proxy or substitute is
specifically prohibited.
ARTICLE V.
DUES
Section One.
Dues: Dues shall be recommended by the Executive Board and
approved at the annual caucus, by a simple majority
of active members present.
ARTICLE VI. CAMPAIGN FINANCE
Section One.
No funds shall be disbursed or allowed to any candidate
prior to a primary election
Section Two.
Campaign funds shall be allocated to County Candidates on a
priority basis and only to those County Candidates who are not
in default of membership dues.
Section Three.
Funds in excess of those disbursed to County Candidates
shall then be disbursed on a priority basis to Wisconsin State
and National Candidates.
Section Four.
The Executive Board shall not cause the organization to
expend funds in such a manner as to put the organization into
debt.
Section Five.
Any member of the Executive Board who is or shall be a
candidate, candidate’s campaign chairman, candidate’s
finance chairman or candidate’s coordinator shall be
prohibited from voting on any campaign financing.
